End-user license agreement for the KBPD Starter Kit. Perpetual per major version, indie and enterprise tiers, permitted and prohibited uses.

1. Parties and product
This End-User License Agreement (the License) governs your use of the KBPD Starter Kit (the "Software") — a knowledge-architecture starter kit delivered as a downloadable archive containing templates, skills, design tokens, schemas, and documentation. The Software is licensed, not sold, by Soekan Design, LLC (the "Licensor"), with its principal place of business at 11239 SW Capitol Hwy, Portland, OR 97219.
By downloading, installing, or using the Software, you ("Licensee") agree to this License. If you do not agree, do not download or use the Software.
2. License grant
Subject to your payment of the applicable fee and your compliance with this License, the Licensor grants you a perpetual, worldwide, non-exclusive, non-transferable license to use the Software for the major version you purchased.
- "Perpetual" means your right to use the major version you bought does not end. It does not entitle you to future major versions (for example, a purchase of v7.x does not include v8.0), which may be offered as separate purchases.
- Patch and minor updates within your purchased major version are included when published.
- The license is granted per organization or individual, for use by your own team and on your own projects.
3. License tiers
The Software is sold in two tiers, distinguished by the size of the licensee. You select your tier at purchase by self-attestation (honor system); the Licensor does not audit your finances.
- Indie / Solo — for individuals and organizations with both less than US $5,000,000 in annual revenue and less than US $5,000,000 in total investment or capital raised.
- Enterprise — for organizations that meet or exceed either threshold above (US $5,000,000+ in annual revenue, or US $5,000,000+ in total investment or capital raised).
If your circumstances change such that you no longer qualify for the Indie / Solo tier, you agree to upgrade to the Enterprise tier for continued use on new work.
4. What you may do
- Use the Software to build, operate, and ship your own products and client work.
- Modify, adapt, and extend the Software's templates, skills, tokens, and schemas for your own use.
- Make internal copies as reasonably needed for your team and your own backups.
5. What you may not do
- Redistribute, resell, sublicense, lease, lend, or publish the Software or any substantial portion of it, in original or modified form, as a stand-alone or competing product.
- Share your purchased copy, license, or access email with anyone outside your licensed organization.
- Remove, obscure, or alter any copyright, attribution, or proprietary notices.
- Use the Software beyond the scope of your purchased tier without upgrading.
For clarity: products and works you build with the Software are yours. The restriction is on redistributing the Software itself as a kit.
6. Delivery
The Software is delivered digitally by email after purchase. You are responsible for downloading and retaining your own copy. Access help can be re-issued on request to [email protected].
7. Local tools and hosted service
The included local tools read the files in the kit you download. They do not require a hosted account.
Hosted access is a separate future service with its own account experience, buyer controls, support model, and service terms. It is not included unless a separate offer or signed agreement says so.
8. Returns
The starter kit is a digital product. Return requests are reviewed under the Return policy, including failed delivery, duplicate purchases, mistaken tier selection, and applicable legal requirements.
9. Intellectual property
The Software and all intellectual-property rights in it remain the property of the Licensor. This License grants only the rights expressly stated; no other rights are granted by implication or otherwise.
10. Disclaimer of warranty
The Software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume all risk arising from your use of the Software.
11. Limitation of liability
To the maximum extent permitted by law, the Licensor's total liability under this License is limited to the amount you paid for the Software. The Licensor is not liable for any indirect, incidental, consequential, special, or punitive damages.
12. Termination
This License terminates automatically if you breach any of its terms. On termination you must stop using and destroy all copies of the Software. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability) survive.
13. Governing law
This License is governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws rules.
